By accessing or using Work Flow Trade ("the Service"), operated by Workflow Trade Limited, company number 9422441, NZBN 9429053604309 ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
Work Flow Trade is a cloud-based business management platform for trade and service companies. We provide job management, scheduling, GPS tracking, quoting, invoicing, inventory management, timesheets, and a customer portal. The Service is provided on a software-as-a-service (SaaS) basis.
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use.
One account represents one company. The account owner is responsible for managing users, permissions, and billing.
New accounts receive a 30-day free trial with full access to all features. A payment method is required to start your trial, but you will not be charged until the trial period ends. At the end of the trial period, you must subscribe to continue using the Service. Your data will be retained but access will be suspended until you subscribe.
The Service is billed monthly at the rate displayed on our website (currently NZ$50 + GST per month). Payment is processed via Stripe. Subscriptions renew automatically each month. You may cancel at any time — cancellation takes effect at the end of the current billing period.
Founding offer. Accounts created while our founding offer is open are billed at NZ$50 + GST per month, locked in for that account's first 12 months. The founding offer is available until we reach 100 paying customers or until 31 December 2026, whichever comes first. Once the founding offer closes, the standard price for new accounts is NZ$79 + GST per month, and founding accounts move to the then-current standard rate at the end of their first 12 months.
We reserve the right to change pricing with 30 days' notice. Price changes will not affect your current billing period.
You retain full ownership of all data you upload to or create within the Service. We do not claim any intellectual property rights over your data. We will not access, use, or share your data except as necessary to provide and improve the Service, or as required by law.
You are responsible for maintaining your own backups. While we perform automated backups, we do not guarantee data recovery in all circumstances.
Some records you create in the Service may be records the law requires you to keep — for example, tax records for 7 years and wage and time records for 6 years. You can export your data at any time, and you are responsible for exporting anything you need before your account closes.
You agree not to:
We aim to keep the Service available 24/7 but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible. Support is available via email at support@workflowtrade.co.nz.
The Service is a record-keeping and workflow tool. Figures the Service displays or exports — including timesheet hours, leave balances, pay rates, GST amounts, invoice totals, and profit or cost metrics — are calculated from the information you and your team enter, and are provided as an indicative record only. They are not payroll, employment, tax, accounting, health and safety, or legal advice, and we do not warrant that they satisfy the Holidays Act 2003, the Employment Relations Act 2000, the Goods and Services Tax Act 1985, the Health and Safety at Work Act 2015, or any other legislation.
You remain responsible for your own statutory compliance — including paying your staff correctly, charging GST only if you are GST-registered, keeping the records the law requires you to keep, and meeting your health and safety duties. Confirm statutory calculations in your payroll system and with your accountant or professional adviser.
To the maximum extent permitted by law, the Service is provided "as is" and "as available", and we do not warrant that it will be uninterrupted, error-free, or free of defects.
You confirm that you are acquiring the Service in trade for business purposes. To the maximum extent permitted by law, you and we agree that: (a) the Consumer Guarantees Act 1993 does not apply to the Service; and (b) sections 9, 12A, and 13 of the Fair Trading Act 1986 do not apply to dealings between us, as permitted by section 5D of that Act. You and we agree it is fair and reasonable to be bound by this clause, given the Service is a low-cost business tool supplied to businesses on standard terms.
You are responsible for the accuracy of the information you enter, for the emails and documents you send through the Service (including having any consents needed to contact your customers), and for your obligations to your own staff and customers — including any notices you are required to give your staff about GPS tracking or monitoring.
You indemnify us against claims, losses, and costs arising from your breach of these Terms, your unlawful use of the Service, or information and content you or your users submit — except to the extent that we caused the loss.
To the maximum extent permitted by New Zealand law, our total liability to you for any claims arising from your use of the Service is limited to the amount you have paid us in the 12 months preceding the claim. We are not liable for any indirect, incidental, or consequential damages.
You may cancel your account at any time. We may suspend or terminate your account if you breach these Terms or if required by law. On termination, your data will be retained for 90 days to allow for export, after which it may be permanently deleted.
These Terms are governed by the laws of New Zealand. Any disputes will be resolved in the courts of New Zealand.
We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.
